| Dateline: December 2004 Intelligent Conservation Systems signs an exclusive 3 year marketing agreement with Compass Valve Corporation to market, sale, and install the hi-tech Velocity Red Valve Commercial water management system. ICS is a new company currently specializing in institutional plumbing. Their management sees the Velocity Red Valve becoming the new dominate force in the commercial industry and has proposed an aggressive marketing and sales plan. Marketing and sales are expected to occur in the third quarter of 2005.
